## 1 · Agreement

By creating an account, accessing, or using the Service, you ("User", "you") agree to these Terms of Service. If you do not agree, do not use the Service.

We may modify these Terms. Material changes will be notified via email to the address on file at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

## 2 · Service description

Hunter Killer is a crypto-derivatives discipline tooling platform. We provide:

- Cross-exchange liquidation analytics
- Position management dashboards
- Engine Read directional synthesis (1-hour horizon, calibrated; provisional)
- Per-tenant API key storage encrypted at rest
- Trade journaling, portfolio aggregation, and notification routing

We are NOT a broker, dealer, advisor, or fiduciary. We do not custody your funds. All trades are placed by you (or by code you control with credentials you provide) on third-party exchanges where your funds reside.

## 3 · Account eligibility

You represent that you:

- Are at least 18 years old (or the legal majority in your jurisdiction)
- Have legal capacity to enter into this agreement
- Are not located in, organized under the laws of, or a citizen of any jurisdiction subject to OFAC sanctions, or any jurisdiction where use of the Service is unlawful
- Will provide accurate, current, and complete information during signup and keep it updated

You are solely responsible for safeguarding your account credentials, API keys, and 2FA backup codes. We will not be liable for losses arising from your failure to do so.

## 4 · Acceptable use

You agree not to:

- Reverse engineer, decompile, or attempt to extract source code or trade secrets
- Use the Service to violate any law, regulation, or third-party right
- Submit content that is unlawful, fraudulent, abusive, or infringing
- Attempt to access another user's account or data
- Run automated scrapers, denial-of-service attacks, or volumetric probes against the Service
- Resell, sublicense, or white-label the Service without written permission
- Use the Service to evade KYC/AML requirements on any third-party exchange

We reserve the right to suspend or terminate accounts that violate this section. Violations involving sanctions, money laundering, or market manipulation will be reported to relevant authorities as required by law.

## 5 · Subscription and billing

The Service offers Free, Pro ($50/month), and Institutional ($200/month) tiers. Pricing and feature availability per tier are described on the Pricing page and may change with 30 days' notice.

- Subscriptions auto-renew monthly until cancelled
- You may cancel at any time via the dashboard or by emailing [SUPPORT_EMAIL]; access continues through the end of the current paid period
- We use Stripe as the payment processor; their terms and privacy policy also apply to your payment information
- Refunds: prorated refunds are not offered for partial-month cancellations. Annual prepayments (when offered) are refundable on a prorated basis within 30 days of charge.

## 6 · Risks of crypto trading (read carefully)

Crypto-derivatives trading is **high risk**. You acknowledge:

- Past performance is not indicative of future results
- Leverage amplifies both gains and losses; you can lose more than your initial margin
- Markets operate 24/7 and can move sharply outside business hours
- Exchange outages, network congestion, and API failures can prevent timely execution
- Regulatory regimes for crypto-derivatives are evolving; jurisdictions may restrict or prohibit access
- The Engine Read directional synthesis is a **provisional analytics product** as of [DATE] — its calibration is documented on the dashboard footer and is NOT investment advice

You bear sole responsibility for your trading decisions, including those informed by the Service. Read the separate **Risk Disclosure** document for additional material risk factors.

## 7 · Data, privacy, and federated design

Customer-contributed data (your trade journal, your wallet lookups, your API key labels) is stored per-tenant and isolated by construction. We do not surface your data to other tenants. Aggregate intelligence (e.g., wallet consensus across all platform users) is k-anonymized with a minimum bucket size before any cross-tenant view is generated; per-user attribution stays operator-side only.

## 8 · Intellectual property

The Service, including all software, designs, copy, and analytics, is owned by Operator. We grant you a limited, non-transferable, non-exclusive license to use the Service for personal trading purposes during your subscription period.

You retain ownership of:

- Your trade history, journal entries, and notes
- Your API keys (we hold encrypted copies for service operation only)
- Any content you submit through the support channel

By submitting feedback or feature requests, you grant us a perpetual, royalty-free license to use, reproduce, and incorporate that feedback into the Service without further compensation.

## 9 · Service availability and modifications

The Service is provided "as is" and "as available". We make commercially reasonable efforts to maintain uptime but do NOT guarantee uninterrupted access. Scheduled maintenance, third-party exchange outages, infrastructure failures, and force majeure events may interrupt the Service.

We reserve the right to:

- Modify or discontinue Service features with reasonable notice
- Suspend access for security investigations, billing issues, or terms violations
- Sunset specific analytics products (e.g., a deprecated calibration model) when their empirical foundation is invalidated

We will notify users of material discontinuations at least 30 days before they take effect.

## 10 · Limitation of liability

To the maximum extent permitted by law, Operator's aggregate liability to you for any claim arising from or relating to the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or $100, whichever is greater.

We are NOT liable for:

- Losses incurred from your trading activity
- Losses from third-party exchange failures, hacks, or insolvency
- Losses from your failure to safeguard credentials or 2FA backup codes
- Indirect, consequential, special, or punitive damages
- Lost profits, lost opportunities, or lost data

Some jurisdictions do not allow these exclusions; in such cases, our liability is limited to the maximum extent permitted by applicable law.

## 11 · Indemnification

You agree to indemnify, defend, and hold harmless Operator and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right.

## 12 · Termination

You may terminate at any time by deleting your account through the dashboard. Upon deletion:

- Your access is suspended immediately
- Your data enters a 30-day soft-delete grace period during which you may restore the account by contacting support
- After 30 days, all account data is permanently purged. Trade journals, settings, and stored API keys are deleted. Aggregate platform data (k-anonymized) may be retained for analytics integrity.

We may terminate your account for terms violations, payment failure, or extended inactivity. We will notify you via email when feasible.

## 13 · Governing law and dispute resolution

These Terms are governed by the laws of State of Florida, without regard to conflict-of-laws rules.

Any dispute arising from or relating to these Terms or the Service shall be resolved through:

1. Good-faith informal negotiation for 30 days
2. If unresolved, binding arbitration administered by [ARBITRATION FORUM TBD] under its rules
3. Class action waiver: disputes are resolved individually; you waive the right to participate in class or representative actions

## 14 · Changes to these Terms

We may revise these Terms from time to time. Material revisions will be announced via:

- Email to your account address with at least 14 days' notice
- A banner on the dashboard
- A "Last revised" date update at the top of this document

Your continued use after the effective date of a revision constitutes acceptance.
